** Mediation/ Arbitration. Any and all disputes arising out of or in

connection with the negotiation, execution or interpretation of this

Agreement shall be finally settled by mediation/arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association by arbitrators familiar with the electronic commerce and computer software industries. The arbitration will be held on consecutive business days. The award rendered shall be final and binding upon the parties.

Judgment on any award may be entered in any court having jurisdiction over the parties or their assets. The costs of the arbitration shall be shared equally by the parties. Each party will pay its own attorneys' fees and costs in connection with any arbitration under Arbitration Clause.

1. An arbitration clause is a clause in a contract that requires the parties to resolve their disputes through an arbitration process.

2. Arbitration, a form of alternative dispute resolution (ADR), is a technique for the resolution of disputes outside the courts. The parties to a dispute refer it to arbitration by one or more persons (the "arbitrators", "arbiters" or "arbitral tribunal"), and agree to be bound by the arbitration decision (the "award"). A third party reviews the evidence in the case and imposes a decision that is legally binding on both sides and enforceable in the courts

3. Mediation is the attempt to help parties in a disagreement to hear one another, to minimise the harm that can come from disagreement (e.g. hostility or ‘demonising’ of the other parties) to maximize any area of agreement, and to find a way of preventing the areas of disagreement from interfering with the process of seeking a compromise or mutually agreed outcome.
